Introduction

Welcome to the AOA Community Program. By submitting the form to join, you acknowledge and agree to the following Terms & Conditions. These terms govern your participation in the program, access to the platform, and the responsibilities of both parties.

Eligibility

1. Members must be 18 years or older to join the AOA Community Program.

2. Providing false or misleading information during registration will result in permanent disqualification from the program.

Scope of Participation

Responsibilities of Members

1. Provide accurate details, including your brand name, logo, personal details (name, address, phone number, email ID, age, and address proof), as well as bank account details and proof during registration.

2. Submit product designs that adhere to AOA guidelines, including format and resolution.

3. Actively promote your store and merchandise on social media and other platforms.

4. Regularly update product designs and maintain engagement. Stores with no activity or orders for more than 30 days will be removed from the platform.

Responsibilities of AOA

1. Provide a dedicated sub-storefront on the AOA platform.

2. Handle inventory management, order fulfillment, delivery, and post-order support.

3. Ensure compliance with design and content standards.

4. Process payments in accordance with the payment terms.

5. Members can request product samples, either printed or blank, at cost price.

6. Members can bulk purchase products for offline sales at cost price. Bulk pricing will be provided upon request.

7. Any issues with products purchased in bulk must be reported within 24 hours of receipt. If not reported within this time or if the products are sold offline, AOA will not be held responsible for any defects or issues.

Design and Intellectual Property

1. Designs created by the Member remain their intellectual property.

2. Designs created using AOA’s in-house design services will become the Member’s property upon full payment.

3. Members are solely responsible for ensuring their designs do not infringe on any copyrights. AOA will not be held liable for any copyright disputes.

4. AOA reserves the right to reject designs that do not meet content or quality standards.

Pricing and Payments

1. The selling price of products is determined by the formula: Base Product Cost + Member’s Margin + Variable Costs = Selling Price

2. Payments will be processed on the 2nd and 16th working days of each month, provided the return/refund period has concluded.

3. Members must provide accurate bank account details for payments. AOA is not responsible for errors due to incorrect account information, and re-transactions will not be made.

4. AOA reserves the right to change or update the base product cost and other charges as it deems necessary. While efforts will be made to notify Members of such changes, prior notice is not guaranteed.

Marketing and Promotion

1. Members are responsible for promoting their merchandise and actively engaging their audience.

2. All costs incurred for promotion, including any advertisements or social media activities, are the sole responsibility of the Member. AOA will not bear any promotional costs.

3. Any discounts or offers applied to products are the responsibility of the Member.

Community Behavior

1. Members are expected to maintain a high standard of discipline, etiquette, and behavior within the AOA community.

2. Any inappropriate conduct, including but not limited to harassment or offensive behavior, will result in removal from the program and a permanent ban.

Termination

1. Either party may terminate participation with 30 days’ written notice.

2. Stores that remain inactive for over 30 days without valid reasons may be removed by AOA.

3. Upon termination, any pending profits will be disbursed on the next scheduled payment date.

Liability and Indemnity

1. Members are fully responsible for their designs and promotional activities.

2. AOA will not be liable for losses due to poor product performance or market changes.

3. Members agree to indemnify AOA against any claims arising from copyright infringement or inappropriate content. If a claim of copyright infringement is confirmed, the product in question will be removed from the platform, and any non-disbursed profit earnings will be held until further clarification is provided.

4. Any issues with products purchased in bulk must be reported within 24 hours of receipt. If not reported within this time or if the products are sold offline, AOA will not be held responsible for any defects or issues.

Confidentiality

1. Both parties agree to keep all sensitive and confidential information private.

2. AOA will protect customer data in compliance with applicable data protection laws.

Governing Law and Dispute Resolution

1. This Agreement is governed by the laws of India.

2. Disputes will be resolved through arbitration in Chennai.
